Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and ZIST AI INC, doing business as Zist AI ("Zist AI," "we," "us," or "our"). They govern your use of the Zist AI browser extension and the website at tryzist.com (together, the "Service").

By creating an account, installing the extension, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Who can use Zist AI

You must be at least 18 years old to use the Service. By using Zist AI, you confirm that you are 18 or older and that you are able to enter into this agreement.

3. What Zist AI does

Zist AI is a research and outreach-preparation tool. When you choose to analyze a business's website, the Service can:

• Generate an AI-written summary of that business.
• Generate AI-inferred likely pain points.
• Generate a personalized outreach pitch with a suggested subject line.
• Identify email addresses that are publicly published on that website.
• Check whether an identified email address appears valid and deliverable.
• Save the businesses you research, along with their summaries, pitches, and identified emails, to your dashboard.

The Service is a preparation tool. It does not send emails on your behalf, and it does not contact anyone for you. What you do with its output is your decision and your responsibility.

4. AI-generated content

The summaries, pain points, and pitches that Zist AI produces are generated by AI and are provided for your assistance only. They may contain errors, inaccuracies, or outdated information. You are responsible for reviewing all output before you rely on it or use it, and for ensuring that anything you send is accurate, lawful, and appropriate.

5. Email information

Zist AI identifies email addresses that businesses have published publicly on their own websites, and can check whether an address appears valid and deliverable. We do not guarantee that any email address is correct, current, monitored, or that a message sent to it will be delivered or received. Deliverability checks are estimates provided by a third-party service, not guarantees.

6. Your account

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree to provide accurate account information and to keep it up to date. Notify us at info@tryzist.com if you believe your account has been used without your permission.

7. Acceptable use

You agree to use Zist AI lawfully and responsibly. You must not use the Service to:

• Send spam, bulk unsolicited messages, or any outreach that violates anti-spam laws (such as CAN-SPAM, GDPR, or other applicable regulations).
• Harass, threaten, deceive, defraud, or harm any person or business.
• Conduct any outreach or activity that is illegal, or that violates the rights of others.
• Collect, resell, or redistribute data obtained through the Service in a way that violates applicable law or a third party's rights.
• Attempt to reverse-engineer, disrupt, overload, or gain unauthorized access to the Service, our systems, or our providers' systems.
• Misrepresent your identity or use the Service to impersonate others.

You are solely responsible for your outreach and for complying with all laws that apply to how you contact businesses and individuals.

8. Plans, usage limits, and payment

The Service is offered on a free plan and on paid plans. Each plan includes specific usage limits (for example, a number of AI analyses, email finds, and email verifications per billing period). Usage limits are enforced by our systems, and unused allowances do not roll over unless we state otherwise.

Paid plans are billed on a recurring subscription basis through our payment processor. By subscribing, you authorize us to charge your payment method on each billing cycle until you cancel.

9. Cancellations and refunds

You may cancel your subscription at any time. When you cancel, your paid access continues until the end of your current billing period, after which your account returns to the free plan. We do not automatically refund payments on cancellation.

Refunds are not guaranteed and are handled on a case-by-case basis at our discretion. If you believe you are entitled to a refund, contact us at info@tryzist.com.

10. Service availability and changes

We work to keep the Service reliable, but we do not guarantee that it will always be available, uninterrupted, or error-free. We may modify, suspend, or discontinue features of the Service at any time. We may also update our plans, limits, and pricing; where changes affect your paid plan, we will provide reasonable notice.

11. Third-party services

The Service relies on third-party providers to function (for example, for AI, email verification, authentication, infrastructure, and payments). These providers are listed in our Privacy Policy, and your use of the Service is also subject to those providers' terms and policies where applicable. We are not responsible for the acts, omissions, or availability of third-party services.

12. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service, or any output it produces, will meet your requirements or produce any particular result.

13. Limitation of liability

To the fullest extent permitted by law, ZIST AI INC and its owners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the three months before the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless ZIST AI INC and its owners from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your outreach, your content, or your violation of these Terms or of any law or third-party right.

15. Termination

We may suspend or terminate your access to the Service if you violate these Terms, misuse the Service, or engage in activity that harms us, our users, or our providers. You may stop using the Service at any time.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.

17. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida.
